Consulting Focus: We provide consulting and advisory services primarily to life-science startups seeking to scale from prototype to production. Our Services include, but are not limited to:

No Guarantee of Results: While we strive to provide valuable advice, all consulting outcomes depend on a variety of factors such as market conditions, client engagement, funding availability, and other external variables. We do not guarantee any specific results or success.

You acknowledge that you are responsible for how you implement or act on any advice provided. We recommend you seek independent professional guidance (e.g., legal, regulatory, tax) when necessary.

Eligibility and Client Relationship

Age and Legal Capacity:  You must be at least 18 years old and possess the legal authority to enter into a binding contract to use our Site or Services.

Establishing a Client Relationship: The information on this Site is offered for general informational purposes only and does not, by itself, create a formal consulting or client relationship. A client relationship is established only after both parties sign a written consulting agreement, scope of work, or other contractual document detailing specific Services and payment terms.

Location of Services: Our primary operations are in the United States. However, we may, at our discretion, provide consulting to entities in the UK, EU, or other jurisdictions. You are responsible for compliance with any local laws or regulations relevant to your location or industry.

We agree to handle such information in accordance with our mutual NDA (Non-Disclosure Agreement) or any specific confidentiality obligations outlined in a consulting agreement.

Limitation of Liability

Indirect Damages: To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Aggregate Liability Cap: In no event shall our aggregate liability exceed the total fees paid by you to us for the specific consulting services that gave rise to the claim during the 3-month period preceding the event giving rise to the liability.

Jurisdictional Limitations: Some jurisdictions do not allow the limitation or exclusion of certain liabilities or warranties. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless BioVisia, its employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site or Services, your breach of these Terms, or your violation of any applicable laws or regulations.
